This Terms of Service Agreement (“Agreement,” “Terms”) is entered into by and between Sutras, LLC (“Company,” “we,” “our,” or “us”) and you, the user, purchaser, or participant (“you”). These Terms govern your access to and use of our website, digital courses, mentorship programs, memberships, live yoga events, and related services (collectively, the “Services”).
By purchasing, enrolling, or accessing the Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
1. Eligibility
You must be at least 18 years of age, or the legal age of majority in your jurisdiction, to purchase or participate in our Services.
By enrolling, you represent and warrant that you are legally able to enter into a binding contract.
Parents or guardians purchasing Services for minors assume full responsibility for the minor’s participation and compliance with these Terms.
2. Accounts & Access
Some Services require account creation. You are responsible for maintaining the confidentiality of your login details and for all activity under your account.
Account access is for individual use only and may not be shared, transferred, or resold.
You are responsible for ensuring your device, internet connection, and software are suitable for accessing the Services. We are not responsible for technical issues on your end that prevent access.
Unauthorized use or sharing of accounts may result in suspension or termination without refund.
3. Orders & Payments
All prices are listed in U.S. Dollars and subject to change at any time without notice.
Payment must be completed before access is granted.
If a payment plan is offered, you are responsible for completing all scheduled payments. Failure to pay may result in suspension of access, referral to collections, and additional fees.
By purchasing, you authorize Sutras-CLB (Sutras, LLC) and its payment processors (e.g., Stripe, PayPal) to charge your chosen payment method.
Termination of access does not release you from outstanding payment obligations.
4. Refunds & Transfers
- Digital Programs & Courses (including but not limited to the Lazy Yogi’s Core Drill Challenge, Body by Bandha Method, memberships, and other digital products): All sales are final. Due to the instant-access nature of digital products, no refunds, cancellations, or exchanges will be issued.
- Live Events & Classes: All ticket sales are final. If you cannot attend, you may transfer your ticket to another individual by providing their name and contact information to us at least 24 hours prior to the event. No credits or refunds will be provided for missed attendance.
- Chargebacks: By purchasing, you agree not to initiate a chargeback with your payment provider. Any attempted chargebacks will be contested with proof of purchase, access logs, and delivery records.
5. Intellectual Property
All content provided by Sutras-CLB (Sutras, LLC) including but not limited to videos, PDFs, guides, coaching frameworks, recordings, graphics, branding, written materials, and course structures is the exclusive property of Sutras-CLB (Sutras, LLC) and protected by U.S. and international copyright, trademark, and intellectual property laws.
When you purchase or access our Services, you are granted a limited, personal, non-transferable, non-exclusive license for individual use only.
You may not:
- Copy, record, resell, or redistribute our content.
- Create derivative works, competing products, or training materials using our content.
- Use our trademarks, logos, or branding without express written consent.
- Unauthorized use may result in termination without refund and possible legal action.
6. Health & Medical Disclaimer
Our Services provide yoga, wellness, and fitness education. We are not medical professionals, and nothing provided should be considered medical advice.
You acknowledge and accept that physical activity carries inherent risks, including injury.
By participating, you confirm that you are physically capable, have consulted a physician if necessary, and voluntarily assume all risks associated with participation.
7. Results Disclaimer
- Individual results vary. We do not guarantee any specific outcomes (strength, flexibility, transformation, weight loss, etc.).
- Your progress depends on your personal effort, consistency, and health circumstances.
- Testimonials reflect individual experiences and do not guarantee similar results for all participants.
8. User Conduct
You agree not to:
- Misuse or abuse the Services or content.
- Share or resell purchased materials.
- Engage in unlawful, offensive, or harmful conduct in connection with the Services.
- Copy, reverse engineer, hack, or disrupt any of our platforms.
- Attempt to bypass security or access systems without authorization.
Violation may result in termination of access without refund and possible legal action.
9. Limitation of Liability
To the fullest extent permitted by law:
Sutras-CLB (Sutras, LLC) shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages, injuries, or losses resulting from participation in our Services.
Our total liability for any claim shall not exceed the amount you paid for the specific Service giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Sutras-CLB (Sutras, LLC), its owner, employees, contractors, affiliates, and agents from any claims, damages, liabilities, costs, or expenses (including attorney’s fees) arising out of your use of the Services, your violation of these Terms, or your misuse of our content.
11. Dispute Resolution & Arbitration
Any dispute must first be attempted to be resolved informally by contacting us at hello@ashleysutrasclb.com.
If unresolved, disputes shall be settled by binding arbitration in Kenton County, Kentucky, under the rules of the American Arbitration Association.
You waive the right to a jury trial or to participate in a class action lawsuit. Claims may only be brought individually.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Kentucky. Venue for any permitted court proceedings shall be in Kenton County, Kentucky.
13. Force Majeure
We are not responsible for delays, cancellations, or failures caused by events outside our reasonable control, including but not limited to natural disasters, illness, pandemics, technical failures, or government restrictions.
14. Termination
We may suspend or terminate your access to Services without refund if you violate these Terms or misuse our content.
Termination does not release you from outstanding payment obligations.
15. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain valid and enforceable.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sutras-CLB (Sutras, LLC) and supersede all prior agreements, communications, or understandings.
17. Changes to Terms
We reserve the right to update or modify these Terms at any time. Changes take effect immediately when posted. Continued use of our Services constitutes acceptance of the updated Terms.
